Melanie holds a Bachelor of Laws and Bachelor of Arts from La Trobe University.

Notable Matters

  • Acting for a foreign-owned, Australian company in the acquisition of a transport and logistics business for a purchase price exceeding $200 million. This transaction involved complex legal drafting relating to both corporate and tax matters, as well as Foreign Investment Review Board applications.
  • Acting for a foreign-based private equity fund in the acquisition of a minority stake in an Australian health and wellness company.
  • Acting for a transport industry body in multiple acquisitions of shares, business and assets, as well as the disposition of one of their business lines, over a period of three years.
  • Acting for community banks in respect of multiple transactions involving the sales of businesses and assets to other community banks, as well as to the franchisor.
  • Acting for the buyers in a management buy-out of a confectionary company, including initial corporate structuring and corporate governance documents of the newly incorporated purchasing entity.
  • Coordinating and documenting multiple corporate/tax rollovers pursuant to Division 615 of the Income Tax Assessment Act 1997 (Cth), Subdivisions 124-N and 124-M of the Income Tax Assessment Act 1997 (Cth) and related transactions.
  • Providing corporate governance advice, drafting documentation and negotiating commercial arrangements for an Australian public company in the technology space, in respect of its dealings with licensors in the Peoples’ Republic of China.
