Recent Experience

  • Advising a national pharmaceutical company on the $60 million acquisition of an established brand portfolio and manufacturing facility from a global group. Acquisition incorporated the right to manufacture, market, export and distribute several brands in Australia and New Zealand
  • Acting for an ASX listed property trust in its hostile takeover bid for a competing listed property trust, including a successful application to the Takeovers Panel
  • Acquisition of a multi-million dollar packaging business requiring negotiation of extensive warranties and extensive legal due diligence on all areas of the business including environmental, property, intellectual property, insurance, litigation and business contracts
  • Acquisition of a manufacturing steel business by a series of share sale options, including legal due diligence on all aspects of the business
  • Acting for an Israeli company on its acquisition of its Australian distribution business in the building products industry
  • Acting for a UK public company in the Executive Recruitment industry on the acquisition of an Australian business
  • Acting for a public offer superannuation fund with over 100,000 members and in excess of $1 billion funds under management on the acquisition of a superannuation administration business
  • Advised a European-based group of companies on the acquisition of a large cross-border filtration business operating in Australia and New Zealand
  • Acting for a major senior accommodation property trust on its ASX float and capital raising, which resulted in gross assets at listing exceeding $1.2 billion; and
  • Acting for a European based group of companies in entering into a joint venture with existing business in Australia and assisting the group to establish a profile in Australia. The joint venture also involved providing taxation structuring advice and the consideration of international taxation issues
